This Consulting Services Agreement (“Agreement”) is entered into as of the date of last signature below (“Effective Date”) by and between Aegis-DB (“Consultant”) and the undersigned client (“Client”).
1. Services Offered
Consultant provides the following professional services related to Aegis-DB deployment, optimization, and support:
- Installation & Deployment - Complete setup of Aegis-DB environments including cluster configuration, security hardening, and initial optimization
- Migration Services - Data migration from existing database systems to Aegis-DB with validation and testing
- Performance Optimization - Query tuning, index optimization, resource allocation, and throughput improvements
- Architecture Review - Assessment of current or proposed database architecture with recommendations
- Compliance Audit Assistance - Configuration and documentation support for regulatory compliance requirements
- Custom Development - Development of custom integrations, extensions, or tooling
- Training & Workshops - Technical training for development and operations teams
2. Engagement Models
2.1 Hourly Engagement

3. Terms and Conditions
3.1 Scheduling
- Standard Engagements: Require 1-2 week lead time for scheduling
- Retainer Clients: 48-hour scheduling for non-expedited requests
- Expedited Engagements: Work begins within 24-48 hours of agreement execution
3.2 Travel and On-Site Work
- Remote Work: All remote consulting is included in stated rates
- On-Site Work: Travel time and expenses billed at cost
- On-Site Day Rate: $2,000 per day plus reasonable travel expenses
- Expense Policy: Expenses require advance approval for amounts exceeding $500
3.3 Intellectual Property
- Pre-Existing IP: All intellectual property owned by either party prior to this engagement remains the sole property of that party
- Custom Work Product: Custom work product developed specifically for Client under this Agreement shall become Client’s property upon full payment
- Generic Improvements: Consultant reserves the right to incorporate generic improvements, techniques, and knowledge gained during the engagement into Consultant’s products and services, provided such incorporation does not include Client’s confidential information
3.4 Confidentiality
Each party agrees to hold in confidence all confidential information disclosed by the other party during the term of this Agreement. Confidential information includes, but is not limited to, technical data, trade secrets, business plans, customer information, and proprietary methodologies. This obligation shall survive termination of this Agreement for a period of three (3) years.
3.5 Limitation of Liability
IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR WHETHER SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CONSULTANT’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY CLIENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
3.6 Payment Terms
- Payment Due: Net 30 days from invoice date
- Late Payment Fees: 1.5% per month on overdue balances
- Accepted Methods: Wire transfer, ACH, or credit card (3% processing fee for credit card)
- Disputed Invoices: Client must notify Consultant of any disputed charges within 15 days of invoice date
4. Common Engagement Packages
4.1 Quick Start Package — $2,000
Ideal for teams beginning their Aegis-DB journey.
Includes:
- 4-hour remote consulting session
- Installation and basic configuration
- Initial performance tuning
- Documentation walkthrough
- Q&A and best practices review
4.2 Migration Package — Starting at $5,000
Comprehensive migration support from existing database systems.
Includes:
- Assessment of existing database infrastructure
- Detailed migration plan and timeline
- Data migration execution
- Validation and testing procedures
- 2 weeks of post-migration support
- Migration documentation
Final pricing based on data volume, complexity, and source system.
4.3 Compliance Package — $8,000
Complete compliance configuration and documentation.
Includes:
- Full compliance configuration review and implementation
- Audit trail setup and verification
- Encryption configuration (at-rest and in-transit)
- Documentation package for auditors
- Compliance checklist verification
- Access control and authentication configuration
- 30-day follow-up review
5. General Provisions
5.1 Term and Termination
This Agreement shall commence on the Effective Date and continue until terminated by either party with thirty (30) days written notice. Client shall pay for all services rendered through the termination date.
5.2 Independent Contractor
Consultant is an independent contractor and not an employee of Client. Nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship.
5.3 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions.
5.4 Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, and communications.
6. Signatures
By signing below, the parties agree to the terms and conditions set forth in this Agreement.
